Terms of Service
1. Introduction and Acceptance of Terms
Welcome to Vamo. These Terms of Service (“Terms,” “Agreement,” or “ToS”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Vamo (“Company,” “we,” “us,” or “our”), governing your access to and use of the Vamo platform, including our website located at vamo.travel, our web application located at app.vamo.travel, our application programming interfaces, and all related services, features, content, and applications (collectively, the “Service” or “Platform”).
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.
IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 20, WHICH AFFECTS YOUR LEGAL RIGHTS. PLEASE READ SECTION 20 CAREFULLY.
These Terms incorporate by reference our Privacy Policy, which describes how we collect, use, and share your personal information.
2. Definitions
For the purposes of this Agreement:
- “Account” means the registered account you create to access and use the Service.
- “Booking” means any reservation or purchase of travel-related services (including flights, hotels, activities, and experiences) made through the Platform.
- “Content” means any text, images, photographs, reviews, ratings, comments, data, information, or other materials submitted, posted, displayed, or otherwise made available through the Service.
- “Provider” or “Third-Party Provider” means any airline, hotel, accommodation provider, activity operator, experience provider, or other third-party service provider whose services are accessible through the Platform.
- “Service Fee” means the convenience fee charged by Vamo for facilitating Bookings through the Platform, as described in Section 8.
- “User Content” means any Content that you submit, post, upload, or otherwise make available through the Service.
- “AI Features” means any functionality of the Service that utilizes artificial intelligence or machine learning technologies, including but not limited to itinerary generation, travel recommendations, the JANICE AI assistant, and personalized suggestions.
3. Eligibility
3.1 Age Requirements
The Service is available to individuals who are at least thirteen (13) years of age. If you are between the ages of thirteen (13) and eighteen (18) (or the age of legal majority in your jurisdiction, if different), you may only use the Service with the consent and under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The parent or legal guardian is fully responsible for the minor's use of the Service, including all financial obligations.
3.2 Children Under 13
In accordance with the Children's Online Privacy Protection Act (“COPPA”), 15 U.S.C. §§ 6501–6506, we do not knowingly collect personal information from children under the age of thirteen (13) without verifiable parental consent. If we become aware that a child under 13 has provided personal information without verifiable parental consent, we will take steps to delete such information promptly. If you believe that a child under 13 has provided personal information to Vamo, please contact us at admin@vamo-group.com.
3.3 Capacity
By using the Service, you represent and warrant that: (a) you have the legal capacity and authority to enter into this Agreement; (b) you are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a “terrorist-supporting” country; and (c) you are not listed on any U.S. government list of prohibited or restricted parties.
3.4 Booking Eligibility
To make Bookings through the Platform, you must be at least eighteen (18) years of age and possess a valid payment method. Travel document requirements (such as passports, visas, and government-issued identification) are determined by the applicable Provider and relevant government authorities.
4. Account Registration and Security
4.1 Account Creation
To access certain features of the Service, you must register for an Account. When registering, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your Account information to keep it accurate, current, and complete; and (c) maintain the security and confidentiality of your login credentials.
4.2 Account Security
You are solely responsible for all activity that occurs under your Account. You must immediately notify Vamo at admin@vamo-group.com of any unauthorized use of your Account or any other breach of security. Vamo will not be liable for any loss or damage arising from your failure to comply with this Section.
4.3 Account Sharing
Your Account is personal to you and may not be transferred, sold, or shared with any other person. You may not use another person's Account without their express written permission and our prior consent.
4.4 Multi-User Trip Collaboration
The Service allows multiple users to collaborate on trip planning. When you invite other users to a trip, you acknowledge that those users will be able to view and modify shared trip information in accordance with the permissions you grant. You are responsible for managing access permissions to your trips.
5. Description of Services
5.1 Platform Role
Vamo is a technology platform that facilitates the planning, coordination, and booking of travel-related services. Vamo is not a travel agency, tour operator, airline, hotel, or activity provider. Vamo acts solely as an intermediary between you and Third-Party Providers. All Bookings are subject to the terms, conditions, rules, and restrictions of the applicable Third-Party Provider.
5.2 Service Features
The Service may include the following features, which may be modified, suspended, or discontinued at any time:
- Trip Planning — Collaborative itinerary creation, management, and sharing
- AI-Powered Recommendations — Artificial intelligence-generated travel suggestions, itineraries, and personalized recommendations
- Flight Search and Booking — Search, comparison, and booking of flights through our Provider network
- Hotel Search and Booking — Search, comparison, and booking of accommodations through our Provider network
- Activity Search and Booking — Search, comparison, and booking of activities and experiences through our Provider network
- AI Travel Assistant — An AI-powered conversational assistant (“JANICE”) for trip planning and travel guidance
- Group Coordination — Tools for coordinating travel plans among multiple participants
- Traveler Profile Management — Storage and management of traveler information for streamlined bookings
5.3 Service Availability
Vamo makes commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice, and without liability to you.
5.4 Third-Party Provider Terms
When you make a Booking through the Platform, you enter into a direct contractual relationship with the applicable Third-Party Provider. You are bound by and must comply with the terms, conditions, policies, and restrictions of such Third-Party Provider, including but not limited to their cancellation, refund, baggage, check-in, and liability policies. It is your sole responsibility to review and understand the applicable Third-Party Provider terms before completing a Booking.
6. AI-Generated Content and Recommendations
6.1 Nature of AI Content
The Service utilizes artificial intelligence and machine learning technologies to generate travel recommendations, itineraries, tips, and other content. All AI-generated content is provided for informational and entertainment purposes only and does not constitute professional travel advice, safety guidance, medical advice, or any other form of professional counsel.
6.2 No Guarantee of Accuracy
While we strive to provide useful and accurate information, Vamo does not warrant, represent, or guarantee the accuracy, completeness, reliability, suitability, or timeliness of any AI-generated content. AI-generated recommendations may contain errors, inaccuracies, or outdated information, including but not limited to incorrect pricing, availability, travel advisories, safety conditions, weather information, visa requirements, or health and safety guidance.
6.3 User Responsibility
You are solely responsible for: (a) independently verifying all AI-generated content, recommendations, and suggestions before relying on them; (b) consulting official government travel advisories, health authorities, and other authoritative sources for travel safety information; (c) making your own informed decisions regarding travel plans, safety, and health; and (d) complying with all applicable laws, regulations, and entry requirements of your destination(s).
6.4 AI Service Providers
Our AI Features are powered by third-party AI service providers (including OpenAI, Anthropic, and Google). Your interactions with AI Features are subject to the privacy practices described in our Privacy Policy. We do not use your personal data to train third-party AI models; however, anonymized and aggregated data may be used to improve the Service.
7. Booking Terms
7.1 Booking Process
When you initiate a Booking through the Platform, you authorize Vamo to submit a reservation request to the applicable Third-Party Provider on your behalf. A Booking is confirmed only when: (a) the Third-Party Provider accepts the reservation, and (b) payment has been successfully processed.
7.2 Pricing and Availability
All prices displayed on the Platform are obtained from Third-Party Providers and are subject to change without notice. Vamo does not control and is not responsible for the pricing or availability of any travel services. Prices may change between the time you view a search result and the time you complete a Booking. Vamo does not guarantee any particular price or availability.
7.3 Booking Accuracy
You are solely responsible for ensuring the accuracy of all information provided in connection with a Booking, including but not limited to: traveler names (which must exactly match government-issued identification), dates of travel, destinations, passport and visa information, contact details, and frequent flyer numbers. Vamo is not responsible for errors resulting from inaccurate information provided by you.
7.4 Travel Documents
You are solely responsible for obtaining and maintaining all required travel documents, including valid passports, visas, health certificates, vaccination records, and any other documentation required by airlines, hotels, destination countries, or transit countries. Vamo does not provide visa or immigration advice and is not responsible for denied boarding, entry refusal, or other consequences resulting from inadequate documentation.
7.5 Identity Verification
In connection with Bookings, Vamo may collect government-issued identification information, including passport data. Such information is encrypted at rest and in transit, processed in accordance with our Privacy Policy, and shared only with the applicable Third-Party Providers as necessary to fulfill your Booking.
8. Fees and Payment
8.1 Service Fee
Vamo charges a service fee of one percent (1%) of the Booking total (“Service Fee”) for facilitating Bookings through the Platform. The Service Fee is non-refundable except as expressly provided in these Terms or as required by applicable law. The Service Fee will be clearly displayed to you before you confirm any Booking.
8.2 Third-Party Provider Charges
In addition to the Service Fee, you are responsible for all charges imposed by Third-Party Providers, including but not limited to fare prices, room rates, activity fees, taxes, surcharges, baggage fees, resort fees, and other charges. These charges are determined by the Third-Party Providers and are not controlled by Vamo.
8.3 Payment Processing
Payments are processed through Stripe, Inc. (“Stripe”), our third-party payment processor. By making a payment through the Platform, you agree to Stripe's terms of service and privacy policy. Vamo does not store your complete credit card or debit card numbers; payment card information is handled directly by Stripe in accordance with Payment Card Industry Data Security Standards (“PCI DSS”).
8.4 Currency
Prices are displayed in the currency specified on the Platform (typically U.S. Dollars unless otherwise indicated). If your payment method is denominated in a different currency, your financial institution may apply currency conversion fees, which are your sole responsibility.
8.5 Taxes
You are responsible for all applicable taxes, duties, and government-imposed fees associated with your use of the Service and any Bookings made through the Platform, except for taxes imposed on Vamo's income.
9. Cancellations and Refunds
9.1 Third-Party Provider Cancellation Policies
Cancellation and refund policies for Bookings made through the Platform are determined by the applicable Third-Party Provider. Vamo does not set, control, or override the cancellation or refund policies of Third-Party Providers. Before completing a Booking, you should carefully review the applicable cancellation and refund policy, which will be displayed during the Booking process.
9.2 Cancellation Requests
Vamo will use commercially reasonable efforts to process cancellation requests in accordance with the applicable Third-Party Provider's policies. However, Vamo cannot guarantee that a cancellation request will be accepted by the Third-Party Provider.
9.3 Refund Processing
When a refund is approved by the applicable Third-Party Provider, Vamo will process the refund to your original payment method. Refund processing times depend on your financial institution and may take five (5) to ten (10) business days or longer to appear in your account.
9.4 Service Fee Refunds
The Service Fee charged by Vamo is generally non-refundable. However, Vamo may, in its sole discretion, refund all or a portion of the Service Fee in the following circumstances: (a) the Booking was not confirmed due to a Provider or Platform error; (b) the Service materially failed to function as described during the Booking process; or (c) as required by applicable law.
9.5 Chargebacks
You agree to contact Vamo at admin@vamo-group.com before initiating a chargeback or payment dispute with your financial institution. Unauthorized chargebacks may result in suspension or termination of your Account and collection of any amounts owed.
10. User Content
10.1 License Grant
By submitting, posting, or otherwise making User Content available through the Service, you grant Vamo a non-exclusive, worldwide, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in connection with operating, providing, improving, and promoting the Service, in any media format and through any media channel now known or hereafter developed.
10.2 Representations Regarding User Content
You represent and warrant that: (a) you own or have the necessary rights, licenses, consents, and permissions to submit the User Content and to grant the license in Section 10.1; (b) the User Content does not infringe, violate, or misappropriate any third-party intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights; and (c) the User Content does not contain any material that is defamatory, obscene, threatening, or otherwise unlawful.
10.3 Responsibility for User Content
Vamo does not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content. Under no circumstances will Vamo be liable for any User Content, including any errors or omissions in User Content, or any loss or damage of any kind incurred as a result of the use of any User Content.
10.4 Right to Remove
Vamo reserves the right, but has no obligation, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason or no reason, including User Content that Vamo determines violates these Terms, is objectionable, or may expose Vamo to legal liability.
11. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable federal, state, local, or international law or regulation;
- Make any fraudulent, false, or misleading Booking, or provide false or misleading identity or payment information;
- Engage in any speculative, false, or fraudulent reservation or booking, including making reservations in anticipation of demand without genuine intent to travel;
- Access or use the Service for any commercial purpose not expressly authorized by Vamo, including reselling, sublicensing, or commercially exploiting Bookings, Content, or data obtained through the Service;
- Use any automated means, including robots, crawlers, scrapers, data mining tools, or similar technology to access, scrape, harvest, index, or collect data from the Service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the Service;
- Interfere with, disrupt, or create an undue burden on the Service, servers, or networks connected to the Service;
- Circumvent, disable, or otherwise interfere with security-related features of the Service;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;
- Harass, abuse, threaten, stalk, or intimidate any other User or any Vamo employee, contractor, or agent;
- Submit, post, or transmit any Content that is unlawful, defamatory, obscene, pornographic, abusive, threatening, or that promotes discrimination, bigotry, racism, or hatred;
- Use the Service to engage in competitive benchmarking, competitive analysis, or to develop a competing product or service;
- Attempt to gain unauthorized access to any portion of the Service, other Users' Accounts, or any computer systems or networks connected to the Service; or
- Use the Service in any manner that could damage, disable, overburden, or impair the Service.
12. Intellectual Property
12.1 Vamo Intellectual Property
The Service and all Content, features, and functionality thereof are owned by Vamo, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
12.2 Trademarks
“Vamo,” “JANICE,” the Vamo logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vamo or its affiliates. You may not use such marks without the prior written permission of Vamo.
12.3 Limited License to Users
Subject to your compliance with these Terms, Vamo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.
13. Third-Party Services and Links
13.1 Third-Party Services
The Service integrates with and may contain links to third-party websites, services, applications, and resources (“Third-Party Services”). Vamo does not control, endorse, or assume responsibility for any Third-Party Services or their content, products, privacy practices, or policies.
13.2 No Endorsement
Inclusion of, linking to, or permitting the use of any Third-Party Service does not imply approval or endorsement by Vamo. You access and use Third-Party Services at your own risk.
13.3 Provider Relationships
Vamo maintains commercial relationships with Third-Party Providers for the purpose of facilitating Bookings. Vamo may receive commissions, referral fees, or other compensation from Third-Party Providers. Such commercial relationships do not affect the prices you pay for Bookings.
14. Travel Insurance Disclaimer
Vamo is not an insurance company and does not provide travel insurance, trip cancellation insurance, medical insurance, or any other form of insurance coverage. The Service Fee and any Booking charges do not include travel insurance.
Vamo strongly recommends that you purchase comprehensive travel insurance before any trip, including coverage for trip cancellation, trip interruption, medical expenses, emergency evacuation, lost baggage, and travel delays. The failure to obtain adequate travel insurance may result in significant financial loss in the event of unforeseen circumstances.
Vamo shall have no liability for any loss, damage, expense, or inconvenience arising from or related to the absence of travel insurance.
15. Privacy
Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
16. Digital Millennium Copyright Act (DMCA) Policy
16.1 Reporting Copyright Infringement
Vamo respects the intellectual property rights of others and expects Users to do the same. In accordance with the Digital Millennium Copyright Act of 1998, 17 U.S.C. § 512 (“DMCA”), Vamo will respond expeditiously to claims of copyright infringement committed using the Service.
16.2 DMCA Notice Requirements
If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through the Service, please send a written notification to our designated copyright agent containing:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and its location on the Service;
- Your contact information, including name, address, telephone number, and email address;
- A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
- A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner.

17. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VAMO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES; WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT; AND WARRANTIES REGARDING THE QUALITY, SAFETY, OR AVAILABILITY OF THIRD-PARTY PROVIDER SERVICES.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, Vamo's warranties are limited to the fullest extent permitted by applicable law.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VAMO, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; COSTS OF SUBSTITUTE PRODUCTS OR SERVICES; PERSONAL INJURY OR PROPERTY DAMAGE; ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR PERSONAL INFORMATION; ANY INTERRUPTION OR CESSATION OF THE SERVICE; ANY ERRORS OR OMISSIONS IN ANY CONTENT, INCLUDING AI-GENERATED CONTENT; OR ANY LOSS OR DAMAGE ARISING FROM TRAVEL SERVICES PROVIDED BY THIRD-PARTY PROVIDERS.
THE TOTAL AGGREGATE LIABILITY OF VAMO FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF SERVICE FEES PAID BY YOU TO VAMO DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
19. Indemnification
You agree to indemnify, defend, and hold harmless Vamo, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; your violation of these Terms; your violation of any applicable law; your User Content; your Bookings and disputes with Third-Party Providers; your provision of inaccurate information; or your negligent or willful misconduct.
20. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
20.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting Vamo at admin@vamo-group.com with a written description of the dispute. Vamo will attempt to resolve the dispute informally within sixty (60) days.
20.2 Mandatory Binding Arbitration
If the dispute is not resolved informally, you and Vamo agree that any dispute shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that: (a) either party may bring an individual action in small claims court; and (b) either party may seek injunctive or equitable relief to prevent infringement of intellectual property rights.
20.3 Arbitration Rules
Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator. The arbitration shall take place in the Commonwealth of Massachusetts, or, at your election, may be conducted by telephone, videoconference, or based solely on written submissions.
20.4 Arbitration Fees
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules.
20.5 Arbitration Award
The arbitrator's award shall be final and binding. Judgment upon the award may be entered in any court having jurisdiction, in accordance with the Federal Arbitration Act, 9 U.S.C. §§ 1–16.
20.6 Class Action Waiver
YOU AND VAMO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.
20.7 Opt-Out Right
You may opt out of this arbitration provision by sending written notice to admin@vamo-group.com within thirty (30) days of first creating your Account. Your notice must include your name, Account username or email address, mailing address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, all other provisions of these Terms will continue to apply.
21. Force Majeure
Vamo shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond Vamo's reasonable control, including but not limited to: acts of God; natural disasters; epidemics; pandemics; war; terrorism; civil unrest; government actions; sanctions; labor disputes; internet or telecommunications outages; cyberattacks; airline or transportation disruptions; or any other events of similar nature.
You acknowledge that travel is inherently subject to disruptions and that such events may affect your travel plans. Vamo is not responsible for any losses arising from such disruptions, and the refund and cancellation policies of the applicable Third-Party Providers shall apply.
22. Modification of Terms
Vamo reserves the right to modify these Terms at any time. We will notify you of material changes by: (a) sending an email to the email address associated with your Account, and (b) posting a prominent notice on the Service. Material changes will take effect thirty (30) days after notice is provided. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.
23. Termination
23.1 Termination by You
You may terminate your Account at any time by contacting us at admin@vamo-group.com or through the Account settings feature of the Service.
23.2 Termination by Vamo
Vamo may suspend or terminate your Account and access to the Service at any time, with or without cause, and with or without notice, including if Vamo believes that you have violated these Terms, engaged in fraudulent or illegal activity, or created risk or legal exposure for Vamo.
23.3 Effect of Termination
Upon termination: (a) your license to use the Service is immediately revoked; (b) pending Bookings may be cancelled in accordance with the applicable Third-Party Provider's policies; and (c) Vamo may delete your Account information in accordance with our Privacy Policy.
24. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States of America, without giving effect to any choice-of-law or conflict-of-law rules. Subject to the arbitration provision in Section 20, any legal action or proceeding shall be brought exclusively in the federal or state courts located in the Commonwealth of Massachusetts. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, shall govern the interpretation and enforcement of the arbitration provision in Section 20.
25. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vamo.
Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.
Waiver. Failure to enforce any right or provision shall not constitute a waiver. No waiver shall be effective unless in writing and signed by Vamo.
Assignment. You may not assign these Terms without Vamo's prior written consent. Vamo may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Electronic Communications. You consent to receive electronic communications from Vamo and agree that electronic communications satisfy any legal requirement for written communications.
